Job Description

Job Summary


The Assistant General Counsel with NEI will have a strong business orientation to serve as the company’s in-house lawyer and member of Neenah’s senior leadership team. This position will be located either in the Livonia, MI, office or the Corporate Office in Neenah, WI. The Assistant General Counsel will provide broad advice on legal, business, and ethical issues in a collaborative environment where judgment and candor are critical.

Essential Functions

  • Provide counsel on a wide variety of corporate matters, including business transactions, particularly the review and analysis of contracts and licenses for goods, services and technology on both the buy and sell side, as well as more strategic transactions (e.g., acquisitions, divestitures, joint ventures, partnerships, finance transactions); general employment issues (e.g., EEO compliance, terminations, discrimination, labor relations, collective bargaining, union governance, workers compensation and other similar matters); environmental, regulatory and safety issues (e.g., remediation, OSHA, EPA, FTC); real estate matters (e.g., leases, construction negotiations and contracts and other facilities-related issues); intellectual property management; and litigation management (e.g., product liability, commercial disputes and employee claims); miscellaneous matters which typically arise on a day-to-day basis in a large business enterprise.
  • Select and manage outside counsel and associated budgets
  • Help continue a culture of innovation, growth, communication and accountability while effectively managing risk.
  • Create and maintain a work environment that encourages and supports open and cross-functional communication, innovative approaches and collaborative problem solving.
  • Operate both proactively and reactively with a sense of urgency & autonomy, functioning as the primary liaison between the Vice President, General Counsel & Secretary/executive leadership team and the business clients, other internal and external organizations, vendors, outside lawyers, consultants and other internal and external stakeholders with respect to legal matters, risk management and corporate affairs.
  • Responsible for executing files and maintaining all required and recommended corporate filings, documents, reports and records according to applicable laws and regulations and best practices.
  • Prepare, file and maintain documents required in connection with internal and external audits, corporate and divisional mergers, liquidations and dissolutions, state and local business licenses, and corporate assumed name registrations and terminations. 
  • Serve as Assistant Secretary, assisting in the preparation for Board meetings and taking minutes are the key responsibilities.
  • Perform special assignments and projects as directed by the General Counsel or executive leadership team.

This position description is intended to cover the most significant, ongoing job functions and competency areas.  Successful performance in the role will require performing satisfactorily other duties as assigned. 

Education and Experience Requirements
 
  • Law Degree and membership in a state bar.
  • Typically requires a minimum of 5 years’ legal experience, with a strong preference for several years of experience as a business lawyer in an in-house legal department.
  • Substantive transactional experience and understanding of contract and legal principles, strategies and technology; strong legal advisory skills.
  • Demonstrated ability to work independently, be a self-starter and be proactive in the development and resolution of legal solutions for business issues.
  • Accuracy & attention to detail in analyses and communications.
  • Ability to speak and write clearly and concisely, summarize complex legal issues and risks, and craft effective business communications that emphasize key points.


Physical Requirements

Sedentary work. Exerting up to 10 pounds of force occasionally and/or negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects, including the human body.

The worker must be able to access, analyze and otherwise work with, enter information stored in or obtained through the company's computer system, and to communicate effectively with co-workers and third parties who have business dealings with the Company's operations.  

Travel Requirements

Up to 20% is anticipated with this position
